Biographical Details

    Howard's broad experience enables him to structure, negotiate and document complex secured transactions that involve multiple and non-standard collateral classes.  He is an expert in the various forms of credit enhancement and how those enhancements can be integrated into an asset based financing.  Howard is familiar with the mechanisms for effecting sales of financial assets in order to meet tax and financial accounting goals.  Over the years, Howard has been involved in all types of secured loans, financial asset securitizations, equipment leases and off-balance sheet financings.  Working with the firm’s bankruptcy attorneys, he has represented clients in dealing with financially distressed debtors.

    Howard is the editor of the five-volume treatise, Asset-Based Financing:  A Transactional Guide (Matthew Bender & Co.).  He has lectured frequently on secured lending and equipment leasing at continuing legal education programs of the Practicing Law Institute, Banking Law Institute and American Bar Association.  Prior to joining Hahn & Hessen, Howard was General Counsel of the accounts receivable financing, factoring, equipment-financing and leasing subsidiaries of CIT Group Holdings, Inc.  Howard is a member of the American Law Institute and a Fellow of the American Bar Foundation and the American College of Commercial Finance Lawyers.  He served as a director of the American Bankruptcy Institute and as chair of the American Bar Association committees on equipment financing and bulk transfers.  He has also served as an advisor to the Restatement of Suretyship and Guaranty and is on the editorial advisory board of the Journal of Bankruptcy Law and Practice.
